These Terms of Service ("Terms") govern your access to and use of the services provided by OmnigaTech ("we", "our", or "us"), including our website at https://omnigatech.com and the Shopline Support App.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By creating an account or using any of our services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with them. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

OmnigaTech provides technology services including:

  • Shopline Support App: A SaaS integration that connects Shopline ecommerce data with Zendesk customer support tickets
  • IT Consulting: Strategic technology advisory services
  • Custom Development: Bespoke software development services

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Account Registration

To use certain services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with third parties
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

4. Subscription and Payment

Certain services are offered on a subscription basis. By subscribing, you agree to:

  • Pay all applicable fees as described on our pricing page
  • Provide valid payment information and authorize recurring charges
  • Understand that subscription fees are billed in advance on a monthly or annual basis

Refunds: We offer a 14-day free trial for new subscriptions. After the trial period, subscription fees are non-refundable except where required by applicable law. If you cancel, you will retain access to the service until the end of your current billing period.

Price changes: We may change subscription prices with 30 days' notice. Continued use of the service after the price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Engage in any activity that disrupts or interferes with our services
  • Scrape, crawl, or extract data from our services without authorization
  • Resell or sublicense our services without our written consent

6. Intellectual Property

All content, features, and functionality of our services — including but not limited to software, text, graphics, logos, and trademarks — are owned by OmnigaTech or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use our services for your internal business purposes in accordance with these Terms. This license does not include the right to copy, modify, distribute, sell, or lease any part of our services.

7. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in the Privacy Policy.

You retain ownership of any data you submit to our services. You grant us a limited license to process your data solely for the purpose of providing the services to you.

8. Third-Party Services

Our services may integrate with or link to third-party services (such as Shopline, Zendesk, and Stripe). These third-party services are governed by their own terms and privacy policies. We are not responsible for the practices of third-party services and encourage you to review their terms before use.

9. Disclaimers and Limitation of Liability

Disclaimer of Warranties: Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability: To the maximum extent permitted by law, OmnigaTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use our services.

Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless OmnigaTech and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to our services immediately if you violate these Terms or if we determine, in our sole discretion, that continued access would harm our services or other users.

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of New Jersey.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
